OLDS DIDSBURY FLYING ASSOCIATION BYLAWS OLDS -  

DIDSBURY FLYING ASSOCIATION

The Object of the Association is:

(a) To acquire, hold, operate and maintain all manner of lighter-than-air and heavier-than air craft.  

(b) To apply for and obtain all such licenses and permits from municipal, provincial or other proper authority as may be requisite for the purpose of this Association.

(c) To borrow, raise or secure the payment of money is such manner as the Association considers fit for the attainment of its Objectives.

(d) To operate aircraft and other facilities owned, acquired, leased, or rented by the Association, to the mutual benefit of all members on a non-profit sharing basis.

(e) To promote recreational flying in Olds, Didsbury and vicinity.

(f) To offer aircraft and other facilities to qualified Association pilots.

(g) To offer flying activities (fly-in breakfasts, etc).

(h) To promote Association social activities.

(i) To do all other things incidental to or conducive to the attainment of the Objects of the Association.

BYLAWS OF THE OLDS /DIDSBURY FLYING ASSOCIATION ARTICLE

1 - MEMBERSHIP

1. Privileged Member

Any holder of a valid pilot's licenses who is current on Association type aircraft, and paid the necessary deposit, and been checked on type by an Association member, may apply for privileged membership in the Association, with full voting privileges and hold office.

2. Regular Member

Any person interested in the activities of the Association, but not qualified under the preceding sub-paragraph (1), may apply to become a Regular Member, with full voting privileges and my hold office. They will have the privileges of booking the Association aircraft, with a qualified pilot in command, who is a privilege member.

3. Associate Member

Any person interested in the activities of the Association, but not qualified under sub-paragraphs (1) and (2), may apply for Associate Membership in the Association. They shall have no voting privileges, and shall not hold office.

4. Honorary Member

Any person may be voted into the Association as an Honorary Member in recognition of their services to the Association. They shall have no voting privileges and shall not hold office.

5. The interest of a Member in the Olds-Didsbury Flying Association, shall not be transferable and shall lapse and cease to exist upon the death of such member, or when such member shall cease to be a member by resignation, or otherwise in accordance with existing by-laws of the Association.

6. A Member shall be considered to be in good standing if: (a) His or her annual dues are paid in full on, or before the Annual General Meeting. (b) A Member's name shall be deleted from the roll if that Member's annual dues are outstanding for a period of more than a year.

7. All Members of the of the Olds-Didsbury Flying Association shall comply with the provisions of these by-laws and any amendments thereto, and with such regulations as may be thereunder from time to time by the Board of Directors and shall in every way, endeavour to promote the interest of the said Flying Association and to carry out the object for which the Association was formed.

8. Dues assessed on an annual basis and paid on an annual basis in accordance to rates set out in the rules and regulations of the Olds-Didsbury Flying Association.

ARTICLE 2 - WITHDRAWAL, SUSPENSION, OR EXPULSION

1. Any Member may withdraw from the Olds-Didsbury Flying Association by delivering to the Secretary by registered mail, a written notice to that effect, and withdrawal will be subject to any indebtedness to the Association. Membership fees may or may not be refunded in part or in the whole.

2. Any Member may be suspended or expelled from the Association for any cause deemed sufficient by the Board of Directors upon a majority affirmative vote of the full membership of the Board. At such meetings, the Member under charge will be accorded a full hearing on the written charge.

3. Any Member suspended or expelled by the Board of Directors may appeal to the full membership of the Olds-Didsbury Flying Association. Such appeal will be made to the President in writing, who in turn will call a special meeting, where a full hearing will be given to the charge. A vote will be taken by secret ballot of the members in good standing present and a three-quarter majority will be required to reverse the action of the Board of Directors.

4. Any person wishing to register a complaint against a Member of the Olds-Didsbury Flying Association for an infraction of the regulations must do so in writing addressed to the President. All such complaints shall be dealt with as per paragraphs (2) and (3) of Article 2.

ARTICLE 3 - MEETINGS, REGULAR AND SPECIAL

1. (a) A quorum for a regular meeting shall be 12 of the members in good standing. (b) A quorum for a special meeting shall be 15 of the members in good standing.

2. A regular meeting of the Olds-Didsbury Flying Association shall be held each month. The date to be fixed at the preceding meeting.

3. Special meetings may be held at any time as laid down by the President, Executive Committee or on demand in writing by not less than three members.

4. The Annual General Meeting shall be held within 90 days of the end of the fiscal year.

5. Only Members in good standing shall be eligible to hold office and entitles to vote, as outlined in Article 1.

ARTICLE 4 - BOARD OF DIRECTORS, OFFICERS AND THEIR DUTIES

1. The Board of Directors of the Olds-Didsbury Flying Association shall consist of not less than seven (7) eligible Members elected each year to the offices of President, Past President, Vice-President, Secretary, Treasurer, and three (3) selected members. At any General Meeting of the Association, provided due notice thereof has been given as aforesaid, the number of Directors may be increased or decreased.

2. The election of Directors of the Association shall be held at the first regular meeting of the fiscal year, and all Directors of the Association shall retire from office and voting members of the Association shall elect Directors to fill the offices vacated. Election shall take place by secret ballot.

3. A retiring Director shall be eligible for re-election.

4. Any causal vacancy occurring in the Board of Directors by death, resignation or otherwise, may be filled by the remaining Directors; in the event of any Director being absent from three (3) consecutive meetings of the Board of Directors, or regular meetings without reasonable cause, will automatically be removed from office. This vacancy shall be filled by elections at the next regular meeting.

5. The Olds-Didsbury Flying Association may, by extra-ordinary resolution, remove any Director before the expiration of his period of office and may, by an ordinary resolution appoint another person in his or her stead.

6. The quorum necessary for the transaction of business by the Board of Directors shall be no less than 51%.

7. The Board of Directors may delegate any of its powers to Committees consisting of such member or members of the Board as the Board may determine. Any Committee so formed shall, in exercise of the powers so delegated, conform to any regulations that may be imposed on them by the Board.

8. The President shall, when possible, preside at all meetings. He or she shall see that the general policy and objectives of the Olds-Didsbury Flying Association are carried out and generally supervise the business of the association.

9. The Vice-President shall, in the absence or at the request of the President, preside or in his or her absence, some member of the Board of Directors shall be appointed by the meeting. The Vice-President shall assist the President in the fulfillment of his or her duties.

10. The Treasurer shall have custody of all funds, keep an accurate record of all funds and generally perform all duties of a Treasurer, and shall, when requested to do so, render to the Directors or to a general meeting, an account of the monies received and expended by him or her. The Treasurer shall have custody of all funds, ledgers and legal documents pertaining to the Association.

11. The Secretary shall keep a record showing the names and addresses of all members of the Association. He or she shall serve all notices and keep such further records as may be directed by the President or the Directors and he or she shall also carry out such further directions as the Board of Directors may deem necessary or advisable. The Secretary shall also attend all meetings and take minutes of the proceedings at all meetings of the Members and/or the Directors and keep a proper record in a "Minute Book" to be kept for that purpose, and all correspondence forthwith. In the event of the Secretary being unable to be present at any such meeting or meetings, the Chairman of the meeting shall appoint one of the Directors to act pro-tem in the place of the Secretary.

12. The Board of Directors shall have the power to pass such regulations in accordance with these by-laws as it may deem advisable respecting the conduct of the affairs of the Association.

13. A Directors meeting may be held once in each month or more frequently should it be deemed expedient and at such time and place as to be considered advisable.

14. The Board of Directors shall have full control of the managing, running and care of all property held by the Association, but shall not commit the Association in any major monetary transaction in excess of $7500.00 (fuel purchase excepted) or in any way convey, sell, purchase, mortgage or otherwise charge the said property except on order of the majority of voting Members of the Association in attendance at a General Meeting, of which due notice of motion has been given, both of the Meeting and the business to come before the meeting.

15 The minutes of each Meeting of the Board of Directors shall be read at the next following regular Meeting of the Association.

16 An authorized bank, to be determined by the Board of Directors, from time to time, shall be the bank of the Association and an account shall be kept at the said bank in the name of the Association. All cheques drawn on the Association bank account must be signed by two (2) of the duly authorized signing authorities, as per Article 7, sub-section (2).

ARTICLE 5 - BORROWING POWER

1. The Association may, by ordinary resolution, exercise all or any of the borrowing powers conferred upon it by the "Societies Act" and amendments thereto.

2. All promissory notes, bills of exchange, debentures and other negotiable or transferable instruments made, executed or issued by the association, shall be signed as per Article 7, Section (2). ARTICLE 6 - AUDIT OF ACCOUNTS 1. The Treasurer's books and accounts shall be audited at the end of each Associations Fiscal year by two or more Directors or a recognized Accountant. This report shall be made to the Members at the Annual General Meeting of the Association as part of the Treasurer's Annual Report. 2. The Fiscal year of the Association shall coincide with the calendar year.

3. The remuneration, if any, of the Auditors shall be approved by the Association in a General Meeting.

4. A balance sheet and earnings statement shall be made out at the end of each fiscal year and shall be put before the Association at the Association at the Annual General Meeting.

5. The balance sheet may be accompanied by a report of the Directors as to the Association's affairs.

ARTICLE 7 - CUSTODY AND USE OF THE SEAL

1. The President shall authorize custody of the Seal.

2. The Seal shall be used on all legal documents over the signature of the Presidents or Vice-President and Treasurer.

ARTICLE 8 - MANNER OF MAKING, ALTERING AND RESCINDING BY-LAWS

1. The By-Laws may be rescinded, altered or added to, by an extraordinary resolution passed at a special meeting, with one months written notice specifying the intention to propose the resolution as an extraordinary resolution has been duly given.

ARTICLE 9 - TIME, PLACE, BOOKS AND RECORDS AVAILABLE FOR INSPECTION

1. The Books and Records will be available for inspection by Members at any General Meeting. Amendment dated this__________ day of ___________ 19_______ OLDS-DIDISBURY FLYING ASSOCIATION LISTS OF AMENDEMENTS TO THE CONSITITUTION Addition to Article 1 Section 5 (a). All persons seeking membership in the Olds-Didsbury Flying Association must complete an official membership application, and submit it to the Membership Committee. This membership application must be approved by both the Membership Committee and the Treasurer.

(1) Prior to the approval of the membership, this person shall remain on cash-only basis of all accounts due to the Association. Approval of such application will allow a Member a credit limit of $200.00 maximum.

(2) Credit of over $200.00 may be extended to the Member upon completion and approval of a formal credit application. ADDITION TO ARTICLE 1 SUB-

SECTION 6 (c) A member's name shall be deleted from the Membership roll if he or she exceeds their approved credit limit, or if their account exceeds 60 days. At that time their Membership is automatically revoked, and new membership must be applied for, including payment of an additional annual membership fee for that year. (Duly moved, seconded and voted upon at the meeting of June 3rd 1997. Motion carried)
